GENERAL TERMS AND CONDITIONS OF SALE
Limitation of Liability
Toronto Tool Manufacturing Inc. shall not be liable for any indirect, special, incidental or consequential damage including but not limited to loss of use, loss of business or profits. Some states or provinces do not allow the exclusion or limitation of incidental or consequential damages,
therefore, in some cases, the above limitation or exclusion may not apply to you.
Prices
Prices are subject to change without notice. Toronto Tool Manufacturing Inc. is not responsible for any typographical errors.
Payment Terms
Terms of payment are within Toronto Tool Manufacturing Inc.’s sole discretion, and unless otherwise agreed to by Toronto Tool Manufacturing Inc., payment must be received by Toronto Tool Manufacturing Inc. prior to acceptance of an order. Payment for the products will be made by credit card, wire transfer, or some other pre-arranged method of payment, unless credit terms have been agreed to by Toronto Tool Manufacturing Inc. Invoices are due and payable within the time period noted on the invoice, calculated from the invoice date. Orders are not binding upon Toronto Tool Manufacturing Inc. until accepted by Toronto Tool Manufacturing Inc. Any quotations given by Toronto Tool Manufacturing Inc. will be only valid for the period of the quotation. Customer agrees to pay interest on all past due sums at the highest interest rate allowed by law.
Shipping and Handling Charges
Separate charges for shipping and handling will be shown on Toronto Tool Manufacturing Inc. invoice(s).
Applicable Taxes
The buyer is responsible for all applicable sales and other taxes associated with the order. Where applicable, a separate charge for taxes will be shown on Toronto Tool Manufacturing Inc. invoice.
Delivery
Toronto Tool Manufacturing Inc. will not be responsible for delays in delivery due to events beyond its control, including shortages of material, labor strike, transportation failures or Acts of God.
Risk of Loss
The title to products and risk of loss passes from Toronto Tool Manufacturing Inc. to the buyer upon delivery to the carrier.
Typographically Errors
In the event that a product is mistakenly listed at an incorrect price, Toronto Tool Manufacturing Inc. reserves the right to refuse or cancel any orders placed for products listed at the incorrect price. Toronto Tool Manufacturing Inc. reserves the right to refuse, or cancel, any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Toronto Tool Manufacturing Inc. shall issue a credit to your credit card account in the amount of the incorrect pricing amount.
